The Chinese company would join as a passive financial investor, while it may still decide not to invest, the report said.
Previously, Tencent had dropped its US$1 billion (HK$7.8 billion) equity commitment for the takeover bid, as the offer raised national security concerns with US regulators.
Tencent currently holds a minority nonvoting share in Paramount. It has co-financed films like "Terminator: Dark Fate" of Skydance and helped with marketing and distribution of the studio.
